Why Legal Leadership is now Critical to Private Capital Performance

As private capital enters a more selective, operationally demanding era across Europe, winning firms will differentiate on leadership, not capital.

For boards, CEOs and CHROs, legal leadership is no longer a cost centre or risk gatekeeper but a critical driver of execution and ultimately, value realisation. Operational execution accounts for roughly 50% of EBITDA growth in European private equity exits.

This shift is visible across the UK, Spain and the Netherlands. The firms that recognise it and act decisively on leadership will simply outperform in the next cycle.

A shifting market with fewer deals and higher stakes

Across all three regions, the direction of travel is consistent: activity is returning, but with sharper discipline combined with higher expectations. 

In the UK and broader Europe, capital remains active, but dealmaking is increasingly concentrated in fewer, larger, more strategic “mega” transactions, with strong momentum in AI, healthcare and professional services. 

Spain reflects a similar trend, with private equity expanding into non-traditional sectors such as tourism, hospitality and sports assets, while deal volumes fall and complexity and size increase.  

In the Netherlands, the private equity and venture capital businesses represent approximately 14% of Dutch GDP. The market is moving out of a pause into a selectively active cycle, shaped by longer holding periods, pressure to return capital and a structural rise in private credit.  

Legal leadership is being reimagined in real time 

As private capital evolves, so too does the role of legal, moving from transaction support to embedded business leadership.  

Legal leaders are no longer involved only at deal entry and exit. With prolonged holding periods and more complex portfolios, they must now balance the competing pressures of ongoing governance and compliance, commercial contracting and dispute management as well as transformation and operational change. 

This requires an “operator mindset”, not just technical excellence. 

The emerging leadership profile is strikingly consistent: 

  • Commercially orientated.  
  • Fluent across equity, credit and regulation.  
  • Able to scale teams and leverage technology. 

In Spain, this is reflected in the professionalisation of leadership within law firms and the centrality of talent strategy. In the Netherlands, it shows up in the need for operators who embed legal into value creation plans.  

Hiring for impact 

Boards should stop hiring legal leaders based solely on pedigree or technical excellence and instead prioritise those who can deliver business impact under pressure.  

In a competitive and unpredictable talent market at partner and GC level, traditional hiring heuristics are breaking down. A portable book of business is no longer a reliable indicator of success, and experience gained in simpler deal environments often fails to translate to today’s complexity.  

As a result, leadership misalignment has become a material risk, not just a talent issue. It is a direct driver of returns, exit optionality and investor confidence.

High-performing organisations are doing three things: defining leadership against value creation, prioritising adaptability over track record, and embedding legal into the operating model.
